The Streaming Giant Becomes Frontrunner in Major Hollywood Studio Entertainment Assets Acquisition Bid

Exclusive negotiations are now underway between Warner Bros Discovery and Netflix for a potential sale of its core studio and streaming operations, a development that could dramatically alter the entertainment industry landscape.

An Intense Bidding War

Netflix is reportedly competing against other major players like Paramount Skydance and Comcast, the owner of Universal Studios and Sky, for ownership of the iconic Warner Bros studio, the premium HBO network, and the HBO Max streaming platform.

Sources indicate Netflix has offered a substantial termination penalty of $5 billion should the deal fail to secure antitrust approval in the United States.

The Offer Picture

With Warner Bros Discovery shares sitting around approximately $24 per share, its total market valuation stands at around $60bn. Reports suggest the bid on the table ranges from $28 to $30 per share, which suggests a potential deal worth in the neighborhood of $70bn to $75bn.

Industry experts have warned that such a merger could raise significant antitrust concerns, as it would combine two of the most dominant streaming services in the American market.

Assurances and Strategic Moves

In its proposal, Netflix has reportedly given assurances that the legendary movie lot, behind major franchises like Batman and Harry Potter, would retain broad cinema distribution.

Prior to any potential deal closing, the company is planning to finalize a pre-arranged separation of its linear TV networks, such as TNT, TBS, and CNN.

An Entertainment Powerhouse

Should the deal proceed, Netflix would become the owner of the acclaimed HBO, the maker of award-winning shows including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an vast library of beloved TV series.

Warner Bros formally initiated its auction in October after attracting interest from several interested parties.

Voices of Caution

This prospective deal has not been without controversy. Acclaimed filmmaker James Cameron, known for Titanic and the Avatar series, recently warned that a Netflix acquisition could lead to a "significant erosion of long-term value" for the broader entertainment industry.

At first, Paramount Skydance had been considered the early favorite. It had similarly proposed a $5 billion termination fee contingent on approval issues.

Claims Regarding an Uneven Playing Field

This week, Paramount argued in a letter that its bid was the one most poised to secure government approval. Furthermore, the studio alleged Warner Bros of running an "biased sales process" that unduly benefited Netflix, labeling it "tainted" in legal correspondence.

Representatives for Warner Bros, Netflix, Comcast, and Paramount have declined to provide a statement on the current talks.
